How to Start a Business in Dubai: Step-by-Step Guide

Learn how to start a business in Dubai with this step-by-step guide. From choosing your structure to getting licensed, here is everything you need to launch in the UAE.

Why Dubai Is One of the Best Places to Start a Business

Dubai has engineered one of the world’s most business-friendly environments from the ground up. Zero personal income tax. Zero capital gains tax. 100% foreign ownership in free zones. Streamlined company registration. A strategic position at the crossroads of Europe, Asia, and Africa. For entrepreneurs ready to build something global, Dubai is not just a city — it is a launchpad.

The process of starting a business in Dubai is more structured than many Western markets, but once you understand the framework, it is entirely manageable. Here is a step-by-step guide to getting your business off the ground in the UAE.

Step 1: Choose Your Business Structure

The single most important decision you will make when starting a business in Dubai is your legal structure. There are three primary options:

Mainland LLC

A mainland Limited Liability Company is licensed by the Dubai Department of Economy and Tourism (DET). Following 2020 regulatory reforms, most business activities no longer require an Emirati local partner — 100% foreign ownership is now permitted in the majority of sectors. A mainland LLC can trade freely with UAE customers and government entities, and there are no restrictions on office location.

Free Zone Company

A free zone company is registered with one of Dubai’s 30+ free zone authorities (DIFC, DMCC, Dubai Internet City, etc.). Free zone companies enjoy 0% corporate tax on qualifying income, 100% foreign ownership, full profit repatriation, and zero import/export duties. The tradeoff is that free zone companies generally cannot sell directly to UAE mainland customers — they must use a mainland distributor or agent.

Offshore Company

An offshore company (common options include RAK ICC or JAFZA Offshore) has a UAE registered address but cannot conduct business within the UAE. Offshore structures are used primarily for holding assets, intellectual property, or international business operations. They offer privacy and tax efficiency but are not suitable as operating entities within the UAE.

Step 2: Select Your Business Activity

Dubai requires every business to declare its licensed activities at registration. The Department of Economy and Tourism maintains a list of over 2,000 approved business activities. You can register multiple activities under one license, though some activities carry additional approval requirements (e.g., financial services require Central Bank approval; healthcare requires DHA approval).

Choosing the right activity matters — it determines which free zone or mainland authority can license you, what minimum capital is required, and what visas you can sponsor.

Step 3: Register Your Trade Name

Your company name must comply with UAE naming conventions. Rules include:

  • No offensive or religious names
  • No names already registered by other entities
  • For mainland companies, personal names must be the full legal name (no initials)
  • The name must reflect the business activity or be neutral

Trade name approval takes 1-2 business days for most applications through the DET’s online portal.

Step 4: Obtain Initial Approval

Initial approval from the relevant authority (DET for mainland, free zone authority for free zone companies) confirms that the government has no objection to your business operating. This is issued before you have a physical office, allowing you to proceed with lease agreements.

Step 5: Secure Your Office Space

All UAE businesses require a registered office address. Options range from a flexi-desk in a coworking space (accepted by many free zones) to a dedicated office or warehouse. Your tenancy contract must be registered with EJARI before your trade license can be issued or renewed.

Check our Dubai coworking spaces guide for flexible and cost-effective options that meet licensing requirements.

Step 6: Draft Your Memorandum of Association

An LLC requires a Memorandum of Association (MOA) that outlines shareholding structure, management responsibilities, and capital contributions. This document must be notarized and registered with the relevant authority. Free zone companies require similar constitutional documents.

Step 7: Obtain Your Trade License

Once your office is secured and your documents are in order, you can apply for your trade license. Processing times range from 3-7 business days for most straightforward applications. The license is renewed annually.

Step 8: Open a Business Bank Account

With your trade license in hand, you can approach banks to open a business account. This is one of the more time-consuming steps for new businesses — most major banks require 1-4 weeks for account opening. See our guide to the best banks in Dubai for business for the right institutions to approach.

Step 9: Apply for UAE Residence Visas

Your business license allows you to sponsor UAE residence visas for yourself, employees, and dependents. Visa quotas depend on your office size and business type. The process involves a medical fitness test, Emirates ID application, and biometrics, typically completed within 2-4 weeks.

Key Costs to Budget For

  • Trade license fee: AED 10,000 to AED 50,000+ depending on activity and zone
  • Office space: AED 15,000+ per year for a flexi-desk in a free zone
  • Visa costs: AED 3,000 to AED 5,000 per person including medical and Emirates ID
  • Professional fees for setup assistance: AED 5,000 to AED 15,000
