How to Start a Business in Sydney (Step-by-Step Guide)

How to start a business in Sydney Australia

Starting a business in Sydney involves navigating federal, state, and local government requirements. The good news: Australia has one of the most streamlined business registration systems in the world, and most Sydney businesses can be legally operational within a week of making the decision to start. This step-by-step guide covers every requirement from choosing your structure to opening your doors.

Step 1: Choose Your Business Structure

The most common business structures for Sydney businesses are sole trader, partnership, and company (Pty Ltd). Each has different legal, tax, and liability implications.

A sole trader is the simplest structure: you operate under your own name or a registered business name, income is taxed at your personal marginal rate (up to 45 percent), and you are personally liable for all business debts. Best for early-stage testing or low-revenue freelance work.

A partnership splits ownership between two or more people. Income flows through to individual partners at personal marginal rates. Suitable for professional practices (legal, accounting) but carries joint and several liability risk between partners.

A Proprietary Limited company (Pty Ltd) provides limited liability, separates personal and business assets, and pays the small business corporate tax rate of 25 percent (for companies with aggregated annual turnover below AUD $50 million). This is the recommended structure for most Sydney businesses above the side-hustle stage. ASIC registration costs AUD $576 for a standard company.

A trust structure (discretionary or unit trust) is used for asset protection and tax flexibility, particularly when distributing income to family members in lower tax brackets. Requires a trustee (often a Pty Ltd company) and a trust deed. Engage a lawyer or accountant before setting up a trust.

Step 2: Register Your Company and Business Name

Company registration is handled by the Australian Securities and Investments Commission (ASIC). Register online at ASIC Connect. The process takes 15 to 30 minutes. You will need at least one director (Australian resident required for Pty Ltd), a registered office address in NSW, and payment of the AUD $576 fee.

If trading under a name different from your company name, register a business name through ASIC at asic.gov.au. The fee is AUD $41 for one year or AUD $96 for three years. Your business name does not create a company; it is purely a trading identity registration.

Step 3: Register for an ABN

An Australian Business Number (ABN) is your unique business identifier used on all invoices and tax correspondence. Registration is free at abr.business.gov.au and typically instant for straightforward applications. ABN registration does not obligate you to register for GST, though you should do so voluntarily if you want to claim input tax credits from the outset.

Step 4: Register for GST

If your annual turnover will reach AUD $75,000 or more, you must register for GST. Register through the ATO’s online Business Portal using your myGovID credentials. Once registered, you charge ten percent GST on taxable supplies, lodge Business Activity Statements (BAS) quarterly, and can claim GST credits on business expenses. Many Sydney founders register for GST at incorporation regardless of turnover to signal business legitimacy on invoices and to reclaim GST on startup costs.

Step 5: Open a Business Bank Account

Separate personal and business finances from day one. All four major banks (CBA, Westpac, ANZ, NAB) offer fee-free business transaction accounts for new businesses for the first 12 months. Digital options including Zeller and Airwallex are faster to open (online, same day) and appropriate for service businesses and international-facing companies. See our banks and credit unions in Sydney guide for a full comparison.

Step 6: Licences, Permits, and Council Approvals

Licence requirements vary by industry and location. The Australian Business Licence and Information Service (ABLIS) at ablis.business.gov.au generates a personalised list of required licences based on your business type and NSW address. Common requirements include: food business registration (City of Sydney Council), liquor licences (NSW Independent Liquor and Gaming Authority), building contractor licences (NSW Fair Trading), and financial services licences (ASIC). Allow four to eight weeks for licences that require inspections or background checks.

Step 7: Set Up Superannuation and Workers Compensation

From the first day you hire an employee, you must pay superannuation contributions at 11 percent (rising to 12 percent by 2025) of ordinary time earnings, at minimum every quarter. Register with a default super fund or use the ATO’s SuperStream system for electronic payments. Workers compensation insurance is mandatory for NSW employers before engaging workers. Register through icare NSW (icare.nsw.gov.au).

Step 8: Set Up Accounting and Bookkeeping

Australian tax compliance requires accurate records. Most Sydney businesses use cloud accounting software: Xero (market leader in Australia), MYOB, or QuickBooks Online. Connect your business bank account directly to your accounting software for automatic transaction import. Lodge your first BAS within 28 days of the end of your first quarter. Engage a registered tax agent or accountant for your first year to ensure all ATO obligations are met correctly.
