How to Sell a Business in Lisbon: A Guide for Portuguese Business Owners

Selling a business in Lisbon requires preparation, the right advisors, and a clear-eyed understanding of the Portuguese M and A market. The market for business sales in Portugal has matured significantly over the past decade, with increasing numbers of international buyers actively targeting Portuguese companies, particularly in tech, hospitality, and professional services. This guide gives you a practical framework for preparing, marketing, and closing a successful business sale in Lisbon.

Preparing Your Business for Sale

Start your exit preparation at least 12 to 24 months before your target sale date. The most important pre-sale steps are: cleaning up your financial records, ensuring your AT and Social Security filings are fully current, documenting your operational processes so the business can demonstrably operate without you, and resolving any outstanding legal issues or pending disputes. Portuguese buyers are particularly attentive to tax compliance, so a clean tax certificate (certidao de nao divida) from the AT and Social Security is a prerequisite for most transactions.

Work with your accountant to prepare normalized financial statements that strip out personal expenses and one-time items to show the true recurring profitability of the business. This adjusted EBITDA figure is the central reference point for valuation discussions in the Portuguese SME market. Three years of clean, comparable financial statements is the standard expectation from serious buyers.

Choosing Your Exit Route

Lisbon sellers have several exit options. A trade sale to a domestic or international strategic buyer typically produces the highest price for businesses with clear strategic value to a larger player. A financial sale to a private equity firm, family office, or individual investor (often a search fund operator or a foreign entrepreneur looking to enter the Portuguese market) is appropriate for businesses with strong cash flows and independent management. A management buyout (MBO) is common in businesses where the existing team has the capability and motivation to continue the operation independently. For smaller businesses, listing on platforms such as Negociozinho or BizBuySell generates buyer interest from individual entrepreneurs and investors.

Working with a Portuguese Business Broker

For most business sales in the EUR 200,000 to EUR 10 million range, engaging a Portuguese business broker or M and A advisor is the most effective path to a successful outcome. Brokers handle the preparation of your information memorandum, manage buyer outreach and confidentiality, run the process, and coordinate legal and financial advisors through to completion. Success fees in Portugal typically range from 4% to 8% of the transaction value with a minimum fee of EUR 5,000 to EUR 15,000. International brokers with Portuguese market presence include IMAP, Transworld Business Advisors, and several larger Portuguese advisory firms such as KPMG and PwC Corporate Finance.

Portuguese Tax Treatment for Sellers

The tax treatment of a business sale in Portugal depends on the deal structure and the seller’s individual circumstances. For individuals selling quotas (shares) in a Portuguese Lda, capital gains are taxed at a flat rate of 28% in the individual’s personal income tax return. If the seller is a corporate entity, the participation exemption may apply, potentially exempting capital gains on qualifying quota disposals from IRC entirely. The NHR or IFICI regime may further affect the tax treatment for foreign residents who qualify. Given the complexity and the material amounts involved, engaging a Portuguese tax advisor before agreeing to any deal structure is essential.

The Sales Process: Timeline

A typical Portuguese business sale from engagement with an advisor to final completion takes four to eight months for straightforward transactions. The process runs from preparation of marketing materials and confidential information memorandum, through initial buyer outreach, non-disclosure agreement signing, management presentations, letter of intent, due diligence, negotiation of the Contrato de Compra e Venda de Quotas (share purchase agreement), and notarial completion. Portuguese deals often move at a more deliberate pace than Northern European equivalents, with buyers and sellers investing more time in relationship-building before committing to binding terms. Patience with the process is genuinely valuable.

Post-Sale Transition

Most Portuguese business sales include a seller transition period of three to twelve months. Given the importance of personal relationships in Portuguese business culture, the transitional period is particularly valuable here: customers, suppliers, and key staff are more likely to remain committed through an ownership change if the previous owner is visibly supportive of the new leadership during the handover period. Restrictive covenants in Portugal are generally enforceable for reasonable periods and geographies, typically two to three years within the relevant market area.
